These Terms of Service ("Terms") govern your access to and use of ecodrivesmart.com and any purchase you make from UL Controls, trading as EcoDriveSmart ("EcoDriveSmart", "we", "us"). By using the website or placing an order, you agree to these Terms. If you do not agree, please do not use the website.

Eligibility and your account

Our website and products are intended for business and professional use. You confirm that you are at least the age of majority in your jurisdiction and have the authority to enter into these Terms on behalf of yourself or the organization you represent. If you create an account, you are responsible for keeping your credentials secure and for all activity that occurs under your account. You agree to provide accurate and current information.

Products, specifications, and technical information

We supply variable frequency drives and related products from manufacturers including Invertek, Eura Drive, and LS Electric. Product descriptions, ratings, datasheets, and technical information are provided for general reference and may be updated by the manufacturer at any time. You are responsible for selecting the correct product, rating, and configuration for your application. Technical information on the website does not constitute engineering advice and is not a substitute for the judgment of a qualified professional who has assessed your specific installation.

Pricing, quotes, and availability

Prices are shown in US dollars and may change without notice. We make reasonable efforts to display accurate pricing and stock, but errors can occur. If we identify a pricing or description error on an item you have ordered, we may cancel the order and refund any payment, or contact you to confirm whether you wish to proceed at the correct price. Quotes are valid for the period stated on the quote, or for 30 days if no period is stated. Stock and lead times are estimates and are not guaranteed.

Orders and acceptance

Your order is an offer to purchase. A contract is formed only when we confirm acceptance, for example by sending an order confirmation or by dispatching the product. We may decline or cancel an order for reasons including stock availability, suspected fraud, pricing errors, or inability to verify details. Where we cancel an order you have paid for, we will issue a refund for the affected items.

Payment

You authorize us to charge your selected payment method for the total order amount, including products, shipping, and any applicable taxes and duties. If a payment fails or is reversed, we may suspend or cancel the related order. You are responsible for any taxes, duties, or import charges that apply to your purchase, except where we state otherwise.

Shipping, delivery, and risk

Shipping and delivery are governed by our Shipping and Delivery Policy. Delivery dates are estimates. Risk and title pass as described in that policy.

Returns and warranty

Returns are governed by our Refund and Return Policy. Product warranties are governed by our Warranty Policy. Please read both before purchasing, as some products cannot be returned and warranty conditions apply.

Installation, commissioning, and safe use

Variable frequency drives are industrial products that must be installed, wired, commissioned, and maintained only by qualified personnel, in accordance with the manufacturer's instructions and all applicable electrical codes, standards, and safety regulations. You are responsible for ensuring correct sizing, protection, environmental conditions, and parameter configuration for your application. Failure to follow manufacturer instructions and applicable standards can cause property damage, injury, or loss of warranty coverage. You assume full responsibility for the safe installation and use of the products you purchase.

Acceptable use

You agree not to use the website to break the law, infringe the rights of others, transmit harmful code, attempt to gain unauthorized access to our systems, scrape or harvest data without permission, or interfere with the operation or security of the website. We may suspend or terminate access for conduct that violates these Terms.

Intellectual property

The website and its content, including text, layout, graphics, and logos, are owned by us or our licensors and are protected by intellectual property laws. Manufacturer names, model numbers, and marks remain the property of their respective owners. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural events, strikes, supplier failures, transport disruptions, utility or network outages, and government actions.

Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law rules. You agree that any dispute will be subject to the exclusive jurisdiction of the courts located in San Diego County, California, unless applicable law requires otherwise.

We may update these Terms from time to time. The version in effect is the one published on this page, with the date shown at the top. Your continued use of the website or services after an update means you accept the revised Terms.

General

These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the website and your purchases. If any provision is found unenforceable, the remaining provisions stay in effect. We may assign these Terms in connection with a business transfer.
